Terms of Use

Please read these Terms of Use ("Terms", "Terms of Use") carefully before using the ShopCaptain.app website and the Shop Captain Desktop Software (the "Service", "Software") operated by Shop Captain ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. License Grant

Subject to your compliance with these Terms, Shop Captain grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for your personal or internal business purposes.

  • Shop Captain Basic: Licensed for use on a single workstation.

  • Shop Captain Pro: Licensed for use on a single host machine, serving multiple devices within a single local network.

2. Restrictions

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software (aside from using it for your own business operations).

  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.

  • Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) of Shop Captain or its affiliates.

3. Data Responsibility and Backups

You are solely responsible for your data. Shop Captain stores data locally in a file named job_queue.db. We do not keep a cloud backup of your data.

  • It is your responsibility to create regular backups of your database file.

  • Shop Captain is not liable for any loss of data, corruption of database files, or operational downtime resulting from hardware failure, software conflict, act of God, or user error.

4. Network Security (Pro Version Users)

Shop Captain Pro creates a local HTTP server to allow devices on your network to view the job queue.

  • Open Access: By default, the software does not implement password protection for local network access to streamline shop floor speed. Any device connected to your local Wi-Fi/Ethernet can view and interact with the queue if they have the IP address.

  • Your Security: You are responsible for securing your local network (e.g., using secure Wi-Fi passwords, firewalls) to prevent unauthorized access to your Shop Captain instance.

5. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of Shop Captain.

6. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

7. Limitation of Liability

In no event shall Shop Captain, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service.

Maximum Liability: To the maximum extent permitted by applicable law, in no event shall Shop Captain's total liability to you for all damages exceed the amount of fifty U.S. dollars ($50.00) or the actual price paid by you for the Software, whichever is greater.

8. Disclaimer ("As Is")

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ohio, United States, without regard to its conflict of law provisions.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

11. Refund Policy

Please read carefully before purchasing: Because Shop Captain is a downloadable digital software product, all sales are final. We do not offer refunds, returns, or exchanges once the software has been downloaded or a license key has been issued.

  • No "Trial" Period: By purchasing and downloading the software, you acknowledge that you have reviewed the features and system requirements (Windows OS) and determined that the software meets your needs.

  • Defects: If you believe the installation file is corrupted or defective, please contact support immediately for a replacement download link.
